Welcome to Stonebridge Tax Advisors, LLC (“Stonebridge,” “we,” “our,” or “us”). These Terms of Service (“Terms”) govern your access to and use of our website, services, products, and related materials (collectively, the “Services”). By engaging with our Services, you agree to be bound by these Terms.

If you do not agree, you may not access or use the Services.

1. Services Provided

Stonebridge provides strategic tax advisory services designed to help individuals and businesses implement IRS-compliant, ethical tax mitigation and charitable giving strategies. Services may include:

• Tax strategy assessments and recommendations,

• Educational content, tools, and resources,

• Partnerships with CPAs, attorneys, RIAs, and other professionals.

We do not provide tax return preparation, legal advice, or investment advisory services unless expressly stated in a separate written agreement.

2. Eligibility

By using our Services, you represent that you:

• Are at least 18 years old,

• Have the legal authority to enter into these Terms,

• Will provide accurate, current, and complete information.

3. Independent Professional Advice

Our strategies are based on IRS-approved provisions and are designed for long-term compliance. However, your financial circumstances are unique, and results may vary. You are strongly encouraged to consult with your CPA, attorney, or other licensed professionals before making financial or tax-related decisions.

4. Confidentiality & Data Use

• We treat client information as confidential and use commercially reasonable safeguards to protect it.

• By using our Services, you consent to the collection and use of your data in accordance with our [Privacy Policy].

• You agree not to misuse or disclose proprietary information provided to you by Stonebridge.

5. Fees & Payment

• Fees, commissions, or revenue-sharing arrangements will be outlined in a separate written agreement, engagement letter, or partner contract.

• Payments are due as specified in the applicable agreement.

• All fees are non-refundable unless expressly stated otherwise.

6. No Guarantee of Outcomes

While our strategies are designed for effectiveness, Stonebridge makes no guarantee of specific tax savings, financial outcomes, or investment results. Your results depend on your personal financial situation, compliance with recommendations, and decisions made by you and your advisors.

7. Limitation of Liability

To the fullest extent permitted by law:

• Stonebridge and its officers, employees, contractors, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost profits or tax liabilities, arising from your use of the Services.

• Our total liability for any claim shall not exceed the fees you paid to us for the applicable Service.

8. Indemnification

You agree to indemnify, defend, and hold harmless Stonebridge, its affiliates, and its representatives from and against any claims, damages, liabilities, costs, or expenses (including attorney’s fees) arising out of or related to:

• Your use of the Services,

• Your violation of these Terms,

• Your violation of applicable law or the rights of any third party.

9. Intellectual Property

All materials, strategies, documents, graphics, logos, and systems provided by Stonebridge are the exclusive property of the Company. You may not copy, reproduce, distribute, or create derivative works without prior written consent.

10. Non-Solicitation & Non-Competition

Unless otherwise agreed in writing, clients and partners agree not to solicit Stonebridge employees, contractors, or affiliates for employment or competitive purposes during the term of engagement and for twelve (12) months thereafter.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Termination does not relieve you of obligations to pay fees owed or respect confidentiality obligations.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts of Palm Beach or Broward County, Florida.

13. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted on our website with a revised “Effective Date.” Continued use of the Services constitutes acceptance of any changes.

14. Entire Agreement

These Terms, together with any separate written agreements executed between you and Stonebridge, constitute the entire agreement between the parties regarding the Services.
